Jeffrey A. Johnston

Jeff is a Principal with Stonehill Group, LLP. He has directed a variety of litigation service engagements and damage studies. Jeff has extensive experience with litigation, business disputes, business valuations, finance, accounting, and has a legal education. Prior to joining Stonehill, Jeff was a Manager in the Finance and Economic consulting practice of an international accounting firm. He also has served as Chief Financial Officer of a private investment firm where he had experience with acquisition analysis, financing, workouts, bankruptcy and commercial litigation.

 

 

GENERAL EXPERIENCE:

Advised companies and counsel with respect to business, accounting, financial and economic issues related to damages; valued businesses in disputes and for other purposes. Performed financial and other factual analyses for a variety of commercial litigations. Conducted complex damage studies involving lost sales, lost profits, incremental profits, manufacturing capacity, fixed and variable costs, product line profitability and interest on damages.

    Assisted counsel in developing well-pointed discovery by analyzing issues, developing strategy, preparing interrogatories and document requests, deposing witnesses, calculating damages and preparing trial presentations. Testified at trials and through depositions. Also provided assistance to facilitate negotiations in mediated matters.

    OTHER EXPERIENCE:  

    As a Chief Financial Officer, Jeff was responsible for all aspects of financial management including planning and budgeting, acquisition analysis, credit and collection, banking and financing, income tax planning, insurance, employee benefits and third-party financial reporting. Experience included contract negotiations, debt negotiations, restructuring, and management of litigation activities as plaintiff and defendant.

    Provided tax consulting services for an international accounting firm, assisting publicly and privately held multinational companies with a variety of tax matters including due diligence reviews, tax implications of mergers and acquisitions, reorganizations and earning and profit analysis.

    SELECTED EXPERIENCE:

    • Testified at trial regarding business valuation and accounting issues in a case involving allegations of fraud and breach of fiduciary duty.
    • Testified in deposition regarding financial issues related to a Minnesota Charter School involving allegations of violation of the Establishment Clause.
    • Testified at trial regarding business and financial issues relating to the satisfaction of tax-exempt bonds at a substantial discount for a senior housing project.
    • Testified in deposition regarding lost profits in a case involving allegations of a breach of a non-compete agreement.
    • Valuations of companies engaged in the financial services industry including, among others, broker dealers, reinsurance brokers, real estate brokerage, and banks.
    • Served counsel in dissenters rights proceedings including a natural stone manufacturer, a publicly held restaurant business and family owned manufacturing business.
    • Valuation of a major national food manufacturing company in connection with a tax dispute.
    • Valuation of a developer, owner and manager of hotels and restaurants.
    • Served counsel in a acquisition dispute relating to monetary damages.
    • Served counsel in a fraudulent conveyance action. Work consisted of analyzing relevant financial data, preparing business valuations for two of the business entities transferred and assisting counsel in the discovery process.
    • Served counsel in a case involving allegations of patent flooding. Work consisted of compiling and analyzing relevant market and financial data, and projecting lost revenues, incremental costs and lost profits.
    • Served counsel in a case involving allegations of false advertising under the Lanham Act. Assisted counsel in analysis and rebuttal of monetary damages.
    • Served counsel in a consumer claims action against national finance company. Assisted counsel with damage analysis and development of a database with over one million financing transactions.
    • Served counsel in the defense of an accounting malpractice case. Assisted counsel in damage and liability analysis.
